Online Board Meeting--Chipotle Agreement

Greetings Board Members!  As promised, I have another item for your consideration.  I am attaching two documents for your review and discussion:

1) The Board Action Form for our agreement with Chipotle

2) The proposal for the above partnership.

Please read them and commence discussion.  We will hold discussion open until Thursday, April 10.  Then, if there is consensus, I will call for a motion and second on Friday, April 10.

Also, please indicate briefly that you have entered into the "meeting" so that we may establish a quorum.

Thank you to Joanna Ison for the time she dedicated to this revision.  The updated request is in line with what we discussed during our mid-winter board meeting.  ALSC provides lists based on our expert knowledge of children's literature.

My only reservation is that our logo/name is not associated with any claims Chipotle makes about the potential outcomes of participating in their summer reading program.

One question - Would this partnership impact the possibility of similar partnerships with other entities in the same market as Chipotle? What if a chain like Bruegger's Bagels submits a request for partnership?

I have reviewed the documents attached and support the agreement. It fits within our Advocacy Goal by providing widespread promotion of our brand and logo. It is not a high impact project on our ALSC staff and gives a purposeful project to the Quicklists Committee. Given our current hopes of refocusing committee work on year round initiatives that support the Association, this project seems to me to be a great way to begin and a good example to point to for other committees.

Thanks to Joanna for pulling this together so clearly and completely.

from my reading of the documents, this is not an exclusive arrangement therefore there can be other similar corporate partnerships.

As Ernie noted, that this fits with what we outlined at midwinter Quicklists is the perfect committee for this. Without having any history of similar past agreements, however, I think Ernie's question about other entities is a good one.  Lisa noted it isn't exclusive--a good thing--so as long as we are fine with this as precedent (if it's something new), I support this.

I agree with what's been said and support this revised proposal; yes, thank you Joanna for working with Chipotle on this!

Regarding precedent-setting, I also agree it's good this isn't exclusive, and I don't think it would necessarily have any effect on future proposals -- we (and future boards!) should consider each on its individual merits, but it's a good question to ask and to be aware of. Basic partnership criteria (which might cover us already) are found here: http://www.ala.org/alsc/current-collaborations

Regarding existing precedent, Quicklists has done projects like this in the past, for both profit and nonprofit "clients." We would normally expect a donation from the for-profit ones, I think; or, it'd be part of a larger grant/sponsorship as in the case of Lego Duplo (for profit) or Building a Home Library (Carnegie-Whitney Grant with CBC, nonprofit). I seem to recall a similar ($5000?) donation from Oprah's Book Club (again, for-profit) a few years ago for a list that appeared on its website. Examples here: http://www.ala.org/alsc/booklists

The revised proposal seems to go along with what we discussed at midwinter. We've struck any language about us participating in the actual summer reading program (related to log booklet submissions, etc.) and noted that we'll provide recommended lists. From the revised proposal, I'm assuming Chipotle was okay with this.

I agree that the partnership seems to be broadly written and provides an avenue for future partnerships. As such, I support the revised proposal.

I am also in support of the Chipotle revised proposal for the supportive reasons already stated by fellow board members.  Each agreement we make for partnerships is always evaluated and reviewed individually and on its own merits with connections to our SP---just as we have done with this one.

I add my thanks to Joanna for the work on this project.

I agree with other Board member comments. Having read the revised proposal I would support the partnership. This compromise allows us to expand our brand reach while not adding additional resource strain to staff & committees. Thanks Joanna!
